These Website Terms of Use (“Terms”) govern your access to and use of the website located at https://www.y4k.io and any related pages or content (collectively, the “Site”). The Site is operated by Y4K, Inc. (“Y4K,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.
The Site and Our Service
The Site currently provides information about Y4K and our data migration technology and allows visitors to sign up to receive updates and newsletters about our products and services. In the future, the Site may also allow users to purchase licenses or other rights to use our software and related services, manage their accounts, access support, and (if implemented) participate in user forums or other community features.
For purposes of these Terms, the “Service” means the Site and any related online services that Y4K makes available through or in connection with the Site. These Terms apply only to your use of the Site and Service. Use of any downloadable software provided by Y4K is governed by a separate end-user license agreement (“EULA”), which you must accept at install time.
If there is any conflict between these Terms and the EULA applicable to our software, the EULA will control with respect to the software.
Eligibility and Accounts
You may use the Site only if you are at least 13 years old and capable of forming a binding contract with Y4K, and are not barred from using the Site under applicable law. If you use the Site on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms and that you agree to these Terms on its behalf.
Certain features of the Service (such as account management, license and purchase management, support, or forums) may require you to create an account. When you create an account, you agree to:

Acceptable Use
You agree that you will use the Site and Service only for lawful purposes and in accordance with these Terms. You will not (and will not permit any third party to):

Intellectual Property

Subject to your compliance with these Terms, Y4K grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Service solely for your internal business or personal purposes and in accordance with these Terms. No other rights are granted, and all rights not expressly granted are reserved by Y4K and its licensors.
Use of any Y4K downloadable software is governed by the applicable EULA. The rights granted under that EULA are separate from, and in addition to, the limited rights to access the Site described in these Terms.
You may not use Y4K’s name, logos, trademarks, or other brand elements without our prior written permission, except to the limited extent allowed by applicable law (such as fair use).
User Content
If we enable user forums, comments, support uploads, or other interactive features, you may be able to submit, post, upload, or otherwise make content available through the Site or Service (“User Content”).
You retain ownership of your User Content, subject to any rights you grant to Y4K under these Terms. By submitting User Content, you grant Y4K a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to use, host, store, reproduce, modify, adapt, create derivative works from, publish, translate, distribute, publicly perform, and publicly display your User Content in connection with operating, improving, and promoting the Site, Service, and our business. To the extent permitted by law, you also agree that this license is irrevocable.
You represent and warrant that you have all necessary rights to submit the User Content and to grant the above license; that your User Content does not infringe, misappropriate, or violate any third-party rights; and that your User Content complies with these Terms and all applicable laws.
We may, but are not obligated to, monitor, review, or edit User Content. We reserve the right to remove or disable access to any User Content at any time and for any reason, including if we determine that it violates these Terms or applicable law.
Payments and Purchases
In the future, the Site may allow you to purchase licenses or other rights to use Y4K software or related services. Any such purchases may be subject to additional terms presented at the time of purchase (including the applicable EULA), which will supplement or, if in direct conflict, supersede these Terms with respect to those purchases.
We may change prices, fees, and billing practices for future purchases at any time. Any changes will not apply retroactively to purchases that have already been completed.
Payment processing may be handled by third-party providers. You agree to comply with any terms and conditions of those providers that apply to your transactions.
Third-Party Services and Links
The Site may include links to third-party websites or services or integrate with third-party tools (such as hosting providers, analytics services, form/lead management services, payment processors, or marketing platforms). These third parties are not under Y4K’s control, and Y4K is not responsible for their content, terms, or practices.
Your use of third-party websites or services is at your own risk and is subject to the terms and privacy policies of those third parties. We encourage you to review their terms and policies carefully.
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference.
Privacy
Your use of the Site and Service is also governed by our Privacy Policy, which describes how we collect, use, and disclose information about you. By using the Site, you acknowledge that you have reviewed our Privacy Policy.
Disclaimers
The Site and Service, and all content and materials made available through them, are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties or conditions of any kind, whether express, implied, statutory, or otherwise.
To the maximum extent permitted by law, Y4K and its affiliates, officers, directors, employees, and agents disclaim all warranties, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising out of course of dealing or usage of trade.
Without limiting the foregoing, we do not warrant that the Site or Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site or the servers that make it available are free of viruses or other harmful components, or that the information available on or through the Site is accurate, complete, or current.
Our downloadable software may operate independently of the Site once installed, but license management, account management, and other web-based features may depend on the availability of the Site and related services, which are subject to these disclaimers.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
Limitation of Liability
To the maximum extent permitted by law, in no event will Y4K or its affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising out of or in connection with your use of or inability to use the Site or Service, or these Terms, even if we have been advised of the possibility of such damages.
To the maximum extent permitted by law, Y4K’s total aggregate liability arising out of or in connection with these Terms or your use of the Site or Service will not exceed the amount you paid to Y4K, if any, for access to the Site or Service during the twelve (12) months prior to the event giving rise to the claim. If you have not paid Y4K during that period, Y4K’s total liability will be limited to one hundred U.S. dollars (USD $100).
These limitations apply to any theory of liability, whether based on warranty, contract, tort (including negligence), strict liability, or otherwise, and even if a limited remedy set forth in these Terms fails of its essential purpose.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Y4K and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with:
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
Suspension and Termination
We may, at our sole discretion and without liability to you, suspend or terminate your access to the Site or Service (including your account, if any) at any time and for any reason, including if we believe that you have violated these Terms, pose a security risk, or are engaging in fraudulent or unlawful activity.
We may also remove or disable access to any User Content at any time and for any reason.
Upon termination, your right to use the Site and Service will immediately cease. Any provisions of these Terms that by their nature should survive termination will survive, including, without limitation, ownership provisions, warranty disclaimers, limitations of liability, indemnity, and governing law provisions.
Changes to the Site and Terms
We may modify or discontinue all or any part of the Site or Service at any time, with or without notice. We may also update these Terms from time to time. When we do so, we will update the “Last updated” date at the top of these Terms.
Any changes to the Terms will be effective when posted on the Site, unless a later effective date is specified. Your continued use of the Site or Service after the updated Terms become effective constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Site and Service.
Governing Law and Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Site or Service will be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-law rules.
You agree that the exclusive jurisdiction and venue for any legal action or proceeding arising out of or relating to these Terms or the Site or Service will be the state and federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.
Miscellaneous
These Terms constitute the entire agreement between you and Y4K with respect to the Site and Service and supersede any prior or contemporaneous understandings or agreements regarding the Site and Service, except for any EULA or other written agreement you may enter into with Y4K that specifically supplements or supersedes these Terms.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms, by operation of law or otherwise, without Y4K’s prior written consent. Y4K may freely assign these Terms without restriction.
Nothing in these Terms creates any agency, partnership, or joint venture between you and Y4K.
